Commercial Code

The Commercial Code (HGB) contains the core of commercial law in Germany. The German Civil Code (Bürgerliches Gesetzbuch) is only subsidiary to the German Commercial Code (HGB). The HGB relies primarily on the legal appearance to facilitate the transactions to be carried out. In addition, the HGB contains regulations for the OHG, the KG and the dormant partnership. For corporations, the HGB contains regulations on financial statements and reports. Furthermore, there are supplementary regulations for insurance companies, credit institutions and cooperatives.
